Sales of company, sales of organized section of a company This is a process whose complexity and diversity exceeds basic operations of business entities. Relying on our knowledge and experience, we offer support to companies by offering full management of this process. For a party selling a company or its organized section the following factors are significant: Buyer Party to the transaction - investor. If the owner intends to sell a company but has not yet found the buyer, we offer support in searching for entities meeting the requirements set forth by the buyer, while strictly following the confidentiality policy mutually agreed upon. The document that we are preparing at this stage is usually the Investment Memorandum. Expected value - transaction price This is the key element of the selling process. Of course, the value being the subject of negotiations has to depend solely on estimates provided by the seller. Our support consists among others in preparation of evaluation of a company, which often generates a result exceeding the initially indicated. Our evaluation is based on assessment of company's history of operations and its potential for development and/or value of owned property. Combination of both arguments: of the business entity and of the advisor results in strengthening of negotiating position and easier achievement of expected result. Duration of process Duration of process depends on numerous factors. Most often processes are successfully completed within a period of 6 to 12 months. A transaction may also be completed within 30 days. All depends on transaction complexity, buyer's and seller's willingness to compromise, and requirements as regards obtaining permits from administrative authorities Terms of contract Terms of contract result from negotiations between parties of a transaction. In cooperation with a law office, we advise the seller on provisions of the contract protecting its interest as part of the transaction and following completion of the transaction. This applies also to taxation issues.
